Terms of Service
These Terms of Service ("Terms") govern your use of the products and services offered by Ezyscale LLC ("Ezyscale," "we," "us") through ezyscale.com, ezyscale.ai, and any phone or SMS channels we operate on behalf of our business clients (collectively, the "Service"). By using the Service, you agree to these Terms.
1. Service description
Ezyscale provides AI-driven phone-intake, support-ticket creation, and workflow-automation tools to business clients. End users (callers) interact with the Service primarily through phone calls and SMS text messages.
2. Eligibility
You must be at least 16 years old to use the Service. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
3. Your account and security
If a business client provisions an Ezyscale account for you, you are responsible for keeping your credentials secure and for any activity that occurs under your account. Notify us immediately if you suspect unauthorized use.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Send threats, harassment, or unsolicited commercial messages through the Service.
- Attempt to gain unauthorized access to our systems or to other users' accounts.
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service, except where allowed by law.
- Interfere with the integrity or performance of the Service, including by automated scraping at a rate that disrupts normal operation.
5. SMS and text messaging
You will only receive SMS messages from Ezyscale if you have explicitly consented during an inbound phone call. Consent is captured by an in-call confirmation prompt. You can opt out at any time by replying STOP to any message. Standard message and data rates may apply.
By consenting to SMS, you agree to receive transactional messages related to the support ticket you initiated. Message frequency varies based on activity on your ticket. Reply HELP for help, or contact us at support@ezyscale.com.
Carriers are not liable for delayed or undelivered messages. Ezyscale is not responsible for any charges from your wireless carrier.
6. Voice and AI processing
Calls handled by the Service may be processed by automated speech recognition and large language models operated within our private cloud environment. Inputs are not used to train third-party AI models. See our Privacy Policy for details on retention and sharing.
7. Intellectual property
The Service, including all underlying software, designs, and content created by Ezyscale, is owned by Ezyscale and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service as intended. You retain ownership of any content you provide to the Service.
8. Third-party services
The Service may interact with third-party tools chosen by our business clients (for example, ticketing systems). Your use of those third-party tools is governed by the terms of those providers. Ezyscale is not responsible for the availability or behavior of third-party services.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. Ezyscale does not warrant that the Service will be error-free or always available.
10. Limitation of liability
To the maximum extent permitted by law, Ezyscale will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Service, including but not limited to lost profits, lost data, or business interruption, even if advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amount you paid Ezyscale in the twelve months preceding the claim or (b) one hundred U.S. dollars (USD $100).
11. Indemnification
You agree to defend, indemnify, and hold harmless Ezyscale and its officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or your violation of these Terms.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.
13. Changes to the Service or these Terms
We may modify the Service or these Terms at any time. Material changes to these Terms will be posted at this URL with an updated effective date. Continued use of the Service after a material change constitutes acceptance of the updated Terms.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or the Service will be resolved exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to the personal jurisdiction of those courts.
15. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver. These Terms, together with the Privacy Policy, are the entire agreement between you and Ezyscale regarding the Service.
